Drafting and negotiating SaaS subscription agreements, master service agreements, and AI/data-use terms that balance deal velocity with risk allocation.

Indirect Channel & Partner Agreements
OEM, reseller, and referral agreements that preserve the customer relationship and control data and liability allocation for partner-delivered services.
Cloud & Hyperscaler Agreements
Negotiating infrastructure and professional services agreements directly with hyperscale providers like AWS and GCP, securing favorable SLAs, security commitments, and commercial terms.
Data Privacy & Compliance
GDPR and CCPA compliance programs, data processing agreements, and incident-response coordination — plus support for SOC 2 and ISO 27001 certification efforts.
Fractional & Outside General Counsel
Hands-on commercial and licensing counsel for companies that need senior-level judgment without a full-time GC — contract playbooks, legal operations, and direct support for sales and procurement teams.
